These Terms and Conditions ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Transit Terminal ("Company", "we", "us", or "our") concerning your access to and use of the Transit Terminal platform and services.

By creating an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our platform.
You agree that:
- You are at least 18 years of age and have the legal capacity to enter into binding contracts
- You will provide accurate, current, and complete information during registration
- You will maintain the security of your account credentials
- You are authorized to represent your company or organization if registering on their behalf
- You will comply with all applicable laws and regulations in your use of our services
2. Platform Usage
2.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform for legitimate business purposes related to exports, freight forwarding and logistics operations.
Permitted Uses: Quote discovery, booking management, documentation, shipment tracking, partner verification, and related logistics activities.
2.2 Prohibited Activities
You expressly agree NOT to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Transmit harmful code or malware
- Attempt unauthorized access
- Scrape or harvest data without permission
- Reverse engineer the platform
- Share account credentials
- Use for fraudulent purposes
2.3 Account Responsibilities
You are responsible for all activities that occur under your account
Notify us immediately of any unauthorized use or security breach
Maintain accurate and up-to-date account information
We reserve the right to suspend or terminate accounts that violate these Terms
3. Booking Terms
Booking Process
All bookings made through Transit Terminal are subject to the following terms and conditions:
Quote Acceptance
Quotes are valid for 48 hours unless otherwise specified. Acceptance constitutes a binding agreement.
Confirmation
Bookings are confirmed upon receipt of required documentation and slot availability.
Documentation
You must provide accurate cargo details, customs documentation, shipping instructions, and all required shipping information.
Modifications
Changes to confirmed bookings may incur additional fees and are subject to shipping line approval.

Third-Party Services
Transit Terminal acts as an intermediary. Actual shipping services are provided by third-party carriers and shipping lines. Their terms and conditions also apply to your shipments.
4. Pricing and Payment Terms
4.1 Pricing Disclaimers
⚠️ Rate Fluctuations
Freight rates are subject to change based on market conditions, fuel surcharges, seasonal demand, and carrier pricing. Quoted rates are valid only for the specified validity period.
⚠️ Additional Charges
Quotes may not include all applicable charges such as customs duties, port fees, storage charges, demurrage, detention, or destination handling fees. These will be billed separately as incurred.
⚠️ Currency Conversion
All prices are quoted in USD unless otherwise specified. Currency conversion rates may apply and are subject to daily fluctuations.
4.2 Payment Terms

Late Payment
Overdue payments will incur a late fee as per liner terms. We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days. Repeated late payments may result in account termination.
5. Limitation of Liability
5.1 Service Disclaimer
Transit Terminal provides a digital freight forwarding services to facilitate exporters book shipping services. We are NOT a carrier. We do not operate any vessels, trucks, or cargo handling equipment. We are not a party to the contracts of carriage between shippers and carriers. We do not provide insurance, customs brokerage, or cargo handling services. We are not responsible for the performance, safety, or security of shipments.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We do not guarantee uninterrupted access, error-free operation, or that the platform will meet your specific requirements. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
5.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Transit Terminal shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the fees paid by you in the 1 month preceding the claim
- We are not liable for cargo loss, damage, delay, or detention caused by carriers or third parties
- We are not responsible for customs clearance issues, regulatory compliance, or government actions
5.3 Indemnification
You agree to indemnify, defend, and hold harmless Transit Terminal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
6. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:
Natural Disasters
Earthquakes, floods, hurricanes, tsunamis, or other acts of nature
Catastrophic Events
Fires, explosions, pandemics, epidemics, or public health emergencies
Political Events
War, terrorism, civil unrest, government actions, or sanctions
Labor Disputes
Strikes, lockouts, or labor shortages beyond our control
Technical Failures
Internet outages, server failures, or cyber attacks
Regulatory Changes
New laws, regulations, or government mandates
Effect of Force Majeure
- Performance obligations are suspended for the duration of the force majeure event
- The affected party must notify the other party within 48 hours
- Both parties will work in good faith to minimize the impact
- If the event continues for more than 30 days, either party may terminate the affected booking
7. Dispute Resolution
Resolution Process
We are committed to resolving disputes fairly and efficiently through the following process:
Informal Negotiation
Contact our support team to discuss the issue. Most disputes are resolved within 7-10 business days through direct communication.
Formal Mediation
If informal resolution fails, disputes will be submitted to mediation with a neutral third-party mediator agreed upon by both parties.
Binding Arbitration
Unresolved disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
7.1 Arbitration Terms
Arbitration Provisions:
- Location: Arbitration will be conducted in Mumbai, India, or via online proceedings
- Language: All proceedings will be conducted in English
- Costs: Each party bears their own costs unless otherwise awarded by the arbitrator
- Confidentiality: All arbitration proceedings and outcomes remain confidential
- Class Action Waiver: You agree to resolve disputes individually, not as a class action
7.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.
8. Additional Provisions
Modifications
We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use constitutes acceptance.
Severability
If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Failure to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment
You may not assign these Terms without our written consent. We may assign our rights to any affiliate or successor.
Entire Agreement
These Terms constitute the entire agreement between you and Transit Terminal regarding the platform.
Survival
Provisions regarding liability, indemnification, and dispute resolution survive termination of these Terms.
